Project scope, deliverables, pricing, and timelines are defined in individual contracts or proposals.

Engagement and Project Terms

3.1 Proposals and Scope All work is governed by an approved proposal, quotation, or contract. Any additional features outside the agreed scope may require:

  • Scope revision
  • Timeline adjustment
  • Additional fees

3.2 MVP Policy If we offer a free MVP preview:

  • It remains the intellectual property of the Company until contract signing.
  • It may contain limited functionality.

3.3 Payment Terms Payment schedules are defined in the signed agreement. Late payments may result in suspension of services. All fees are non-refundable unless otherwise stated in writing.

Intellectual Property

4.1 Ownership Transfer Upon full payment:

  • Custom-developed software ownership transfers to the client.
  • Pre-existing frameworks, tools, and internal libraries remain Company property.

4.2 Portfolio Rights We may showcase non-confidential elements of completed projects for marketing purposes unless otherwise agreed.

AI and Automation Disclaimer

Where AI systems are integrated:

  • Outputs are probabilistic and may not be 100% accurate.
  • Clients are responsible for verifying AI-generated content.
  • We are not liable for decisions made solely based on AI outputs.

Client Responsibilities

You agree to:

  • Provide accurate project requirements
  • Respond to feedback requests in a timely manner
  • Maintain security of credentials provided to you
  • Use the software in compliance with applicable laws

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount paid by the client for the specific project.

Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the engagement.

Termination

We may suspend or terminate services if:

  • Payments are not made
  • Terms are violated
  • Services are misused

Termination does not remove payment obligations for completed work.

Governing Law

These Terms are governed by the laws of the United Arab Emirates, unless otherwise specified in a written agreement.

Modifications

We reserve the right to update these Terms at any time. Updates will be reflected with a revised effective date.
